Terms of Use

Terms of Use

Version 3.1

Last revised on: October 17, 2026

Version 3.1 applies to you as soon as you accept it. If you accepted an earlier version and have not accepted this one, its changes (Sections 2.3, 2.9(e), 2.9(f), 8.2 and 8.6) apply to you from November 16, 2026.

The short version. This summary helps you find the important parts of these Terms. It does not replace them; if anything here differs from the full Terms below, the full Terms govern.

  • Luw AI is an artificial intelligence tool for visualizing ideas. Everything it produces is generated by AI and may be wrong, out of scale or impossible to build (Section 6.2).
  • We are not architects, engineers, contractors or surveyors. Nothing the Services produce is a construction drawing, a permit document or professional advice.
  • Before you build, demolish, renovate or alter anything, a licensed professional must design and approve the work and you must obtain the permits it needs. If you rely on the Services instead, you do so at your own risk and you are responsible for the result.
  • We do not train AI models on your content (Section 3.2).
  • Your use must follow our Usage Policy.
  • If you live in the United States, disputes are resolved by individual arbitration, and you can opt out within 30 days (Section 10.2). If you are a consumer in the European Economic Area, the United Kingdom or Switzerland, our EEA, UK and Swiss Consumer Addendum also applies and gives you additional rights.

These Terms of Use (these "Terms") are an agreement between you and Luvi Technologies, Inc., a Delaware corporation, together with its affiliates ("Company", "we", "us" and "our"). They govern your access to and use of Luw AI, including the websites at luw.ai and app.luw.ai, our mobile applications, our application programming interface (the "API"), our Model Context Protocol ("MCP") server and other integrations, and every tool, feature and service we offer under the Luw AI name, such as our AI design, rendering, video and 3D tools, Floorplanner, Luw.ai Studio, Workflows and ArchiGPT (together, the "Services"). Certain features may be subject to additional terms, guidelines or rules that we post or show you in connection with those features, including the plan descriptions shown when you make a purchase; they are incorporated into these Terms. These Terms apply to everyone who accesses, downloads, installs, registers with or uses the Services ("you"), and, where you use the Services on behalf of an organization, to that organization.

The following documents form part of these Terms: our Usage Policy; our Privacy Policy, which explains how we handle personal data; and, if you are a consumer habitually resident in the European Economic Area, the United Kingdom or Switzerland, our EEA, UK and Swiss Consumer Addendum (the "Consumer Addendum"). If the Consumer Addendum applies to you and conflicts with these Terms, the Consumer Addendum prevails. If you and Company have signed a separate written agreement covering the Services, that agreement prevails over these Terms where they conflict.

THESE TERMS SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SERVICES. BY ACCESSING OR USING THE SERVICES, OR BY CHECKING A BOX OR CLICKING A BUTTON TO ACCEPT THESE TERMS, YOU ARE ACCEPTING THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT), AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THESE TERMS (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT), INCLUDING THAT YOU ARE OF LEGAL AGE TO ENTER INTO THESE TERMS. NEITHER YOU NOR YOUR USERS MAY ACCESS OR USE THE SERVICES IF YOU OR THEY ARE NOT AT LEAST 18 YEARS OLD, OR THE AGE OF LEGAL MAJORITY WHERE YOU OR THEY LIVE IF THAT AGE IS HIGHER. THE SERVICES ARE INTENDED SOLELY FOR ADULTS, AND WE DO NOT KNOWINGLY PERMIT ACCESS OR USE BY ANYONE BELOW THAT AGE. IF YOU BECOME AWARE THAT ANY USER ON YOUR ACCOUNT IS BELOW THAT AGE, YOU MUST IMMEDIATELY REMOVE THEIR ACCESS AND NOTIFY US. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THESE TERMS, DO NOT ACCESS AND/OR USE THE SERVICES OR ALLOW ANY ACCESS AND/OR USE BY ANOTHER USER.

IF YOU RESIDE IN THE UNITED STATES, PLEASE BE AWARE THAT SECTION 10.2 OF THESE TERMS CONTAINS PROVISIONS GOVERNING HOW DISPUTES THAT YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED, INCLUDING DISPUTES THAT AROSE BEFORE YOU ACCEPTED THESE TERMS. IN PARTICULAR, IT CONTAINS AN ARBITRATION AGREEMENT THAT WILL, WITH LIMITED EXCEPTIONS, REQUIRE DISPUTES BETWEEN US TO BE SUBMITTED TO BINDING AND FINAL ARBITRATION. UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.

PLEASE ALSO BE AWARE THAT SECTION 6.2 OF THESE TERMS EXPLAINS THAT EVERYTHING THE SERVICES PRODUCE IS GENERATED BY ARTIFICIAL INTELLIGENCE OR AUTOMATED TOOLS FOR VISUALIZATION AND INSPIRATION ONLY, THAT IT IS NOT ARCHITECTURAL, ENGINEERING OR OTHER PROFESSIONAL ADVICE, AND THAT YOU ALONE ARE RESPONSIBLE FOR ANY CONSTRUCTION, RENOVATION OR OTHER WORK CARRIED OUT ON THE BASIS OF IT.

1. ACCOUNTS

1.1. Account Creation. In order to use certain features of the Services, you must register for an account ("Account") and provide certain information about yourself as prompted by the registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate; and (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by following the instructions in the Services or by contacting us. Company may suspend or terminate your Account in accordance with Section 8. If you register or sign in using an account from a third party (such as Google), you authorize us to receive the information that third party shares with us under its terms and your settings, as described in our Privacy Policy.

1.2. Account Responsibilities. You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Company of any unauthorized use, or suspected unauthorized use, of your Account or any other breach of security. Company cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

1.3. Team and Organization Accounts. If you create or join an Account, workspace or plan on behalf of an organization (for example, a team plan), you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization. The organization is responsible for the use of the Services by everyone it gives access to, and its administrators may be able to view, manage, transfer or remove the content and access of its members.

2. ACCESS TO AND USE OF THE SERVICES

2.1. License. Subject to these Terms, Company grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Services and Services Content (as defined in Section 3.1) for your personal purposes or for the internal business purposes of you or the organization you represent, within the limits of your plan. This Section 2.1 governs your use of the Services and Services Content only. It does not limit your rights in Output, which are set out in Section 3.5.

2.2. Certain Restrictions. The rights granted to you in these Terms are subject to the following restrictions: (a) unless expressly permitted by us in writing, you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Services or Services Content, whether in whole or in part (this does not restrict your use of Output under Section 3.5 or your use of the API under Section 2.10); (b) you shall not modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Services or Services Content, including, without limitation, source code, algorithms or machine learning models or the components thereof; (c) you shall not access the Services, or use Output, to build, train or improve (directly or indirectly) any artificial intelligence model or any similar or competitive website, product or service; (d) except as expressly stated herein or as enabled by the features of the Services (for example, download, export and share functions), no part of the Services may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (e) you shall not access the Services, or extract data or content from them, by automated means (including bots, scrapers and scripts), except through the API, MCP server and other integrations we make available and in accordance with their documentation and usage limits; (f) you shall not use the Services or any Output (i) in any unlawful manner or for any unlawful purpose, (ii) in any manner that infringes or violates any third party rights or (iii) otherwise outside the scope or manner expressly permitted by these Terms; and (g) you shall comply with the Usage Policy. Unless otherwise indicated, any future release, update, or other addition to the functionality of the Services shall be subject to these Terms. All copyright and other proprietary notices on the Services (or on any content displayed on the Services) must be retained on all copies thereof.

2.3. Modification. Company reserves the right, at any time, to modify, suspend, or discontinue the Services (in whole or in part), including by changing the artificial intelligence models or other third-party providers the Services use, with or without notice to you, subject to Sections 2.9(e), 8.2 and 8.6. You agree that Company will not be liable to you or to any third party for any modification, suspension, or discontinuation of the Services or any part thereof made in accordance with these Terms.

2.4. Support. Except as described in your plan or in a separate written agreement, Company has no obligation to provide you with any support or maintenance in connection with the Services. We may provide support at our discretion.

2.5. Ownership. Excluding any User Content that you may provide and any Output (each as defined below), you acknowledge that all the intellectual property rights, including copyrights, patents, trademarks, and trade secrets, in the Services and their content, are owned by Company or Company's suppliers. Neither these Terms (nor your access to the Services) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in Section 2.1. Company and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms. Unless expressly permitted by us in writing, you agree not to modify, tamper with or remove any watermark, Content Credentials, metadata, notice or other marking on any content or information provided by the Services, including any marking that identifies Output as generated by artificial intelligence.

2.6. Feedback. If you provide Company with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to Company all rights in such Feedback and agree that Company shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Company will treat any Feedback you provide as non-confidential and non-proprietary. You agree that you will not submit to Company any information or ideas that you consider to be confidential or proprietary.

2.7. Non-Exclusive. Notwithstanding anything to the contrary in these Terms, nothing in these Terms shall prohibit us from creating or providing any output or results (a) that are the same as or similar to the output made available to you or (b) from information or content that is the same as or similar to your User Content.

2.8. Purchases, Subscriptions and Renewals.

(a) Plans. Some functionality of the Services is free of charge. Other features require a paid subscription, credits or another purchase ("Purchased Features"). The features, limits, credits, price and billing period of each plan are described at the point of purchase.

(b) Automatic renewal. SUBSCRIPTIONS RENEW AUTOMATICALLY AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUAL, AS YOU SELECTED) AT THE THEN-CURRENT PRICE, AND YOU AUTHORIZE US AND OUR PAYMENT PROCESSOR TO CHARGE YOUR PAYMENT METHOD FOR EACH RENEWAL UNTIL YOU CANCEL. We will tell you about automatic renewal, the price and how to cancel before you buy, and we will notify you of any price change at least 30 days before it applies to your next renewal.

(c) Cancellation. You can cancel a subscription at any time in your account settings or, for purchases made through the Apple App Store or Google Play, through that store. Cancellation stops future renewals; your plan stays active until the end of the billing period you have already paid for.

(d) Payment. Payments for purchases made on our websites are processed by Stripe, Inc. or by another payment processor or reseller identified at checkout. Where a reseller acts as the merchant of record, its terms of sale also apply to your purchase. You agree to provide accurate and complete payment information, and you authorize us to share it, and information about your transactions, with our payment processor as needed to process your payments. Purchases made through the Apple App Store or Google Play are subject to that store's terms, and refunds for them are handled through that store's own refund process; we are unable to view, access or modify those transactions. Prices do not include applicable taxes unless stated otherwise.

(e) Refunds. Except as required by applicable law, as provided in the Consumer Addendum, or as stated in Section 2.9(f), payments are non-refundable, and we do not provide refunds or credits for partially used billing periods or unused credits. We may, at our discretion, offer a refund or credits in a particular case; doing so does not oblige us to do so in any other case.

(f) Billing errors. If you believe you have been charged in error, tell us at support@luvi.io within 60 days of the charge so that we can investigate and correct it.

(g) Changes. We may change our plans and prices. A change applies to you from your next billing period after notice under Section 2.8(b).

2.9. Credits.

(a) Some features consume credits (also called tokens). Credits are a limited, revocable license to use those features. They have no cash value; they are not money, property or a deposit; and they cannot be sold, transferred or exchanged for cash, except where applicable law requires otherwise.

(b) Credits included in a subscription are available for the billing period in which they are issued and expire at the end of it, unless your plan states otherwise. Credits from a credit (token) pack expire twelve (12) months after purchase, unless a different period is stated at purchase. Free, trial and promotional credits may be limited, changed or withdrawn at any time.

(c) The number of credits a feature consumes is shown in the Services and may change. A change applies only to generations and other actions started after it.

(d) Credits are consumed when you start a generation or other paid action. If a generation fails to deliver a result because of a technical error on our side, we will, at our discretion, restore the credits used or run it again. Dissatisfaction with the content of a result is not a technical error.

(e) Unused credits are forfeited if your Account is terminated because you breached these Terms, or because of fraud or a chargeback. If we discontinue the Services (Section 8.6), or terminate your Account or plan under Section 8.2 for a reason other than your breach, we will stop charging renewals from the day we notify you and, where we give notice, keep your plan and credits usable until the end of the notice period. Credits still unused at that date are forfeited and are not refunded, except as set out in Section 2.9(f).

(f) If the law of your country gives you a right to a refund of credits you purchased and have not used when the Services are discontinued, or when your Account is terminated for a reason other than your breach, you may request it at support@luvi.io within 30 days after that date. We will refund the unused portion of the price you paid, to your original payment method where possible. Credits included in a subscription, and free, trial, bonus and promotional credits, are not refunded.

2.10. API, MCP and Integrations.

(a) Access. If we give you access to the API, our MCP server or other integrations, you must use them in accordance with their documentation, usage limits and these Terms. You must keep your API keys and access tokens confidential, and you are responsible for all activity that uses them. We may limit, suspend or revoke keys or access to protect the Services, our users or third parties, or if you breach these Terms.

(b) Your applications and their users. If you use the API or an integration to make the Services or Output available to others (for example, within your own application, website or workflow) ("Your Application"), you are responsible for Your Application and for its users, and you must ensure that their use complies with the Usage Policy. You must clearly tell the users of Your Application, in substance, what Section 6.2 says: that Design Content is AI-generated visualization, is not professional advice or construction documentation, and must be reviewed by licensed professionals before any Building Work. You must not suggest that Company has reviewed, endorsed or certified Your Application or its results.

(c) AI assistants and agents. Some features let an AI assistant or agent (such as ArchiGPT, or a third-party assistant that you connect through our MCP server or another integration) read, create or change your projects and run tools on your behalf. You are responsible for supervising them and for reviewing what they do before you rely on it. Company is not responsible for any change that an assistant or agent makes to your projects at your direction or through a tool or service that you connected. Your use of a third-party assistant is also subject to that third party's terms.

2.11. Third-Party Providers. The Services rely on third-party providers of artificial intelligence models, computing capacity, hosting, content delivery and payment processing, and we may change those providers at any time. We may suspend, limit or change any feature if a provider stops, limits or changes the service it supplies to us. Company's suppliers and licensors are intended third-party beneficiaries of Sections 6 and 7.

2.12. Beta Features. Features labelled as beta, preview, experimental or similar are provided for evaluation. They may be changed or withdrawn at any time and may be less reliable than other features, and you use them at your own risk.

3. USER CONTENT AND OUTPUT

3.1. User Content. "User Content" means any and all information and content that a user submits to, or uses with, the Services (for example, content in the user's profile, uploads such as photographs, plans and models, and text inputs and prompts). "Output" means the images, renders, plans, three-dimensional models, videos and other content that the Services generate at your direction from your User Content. "Services Content" means any and all information and content, other than User Content and Output, that is output from, or made available on or by, the Services. You are solely responsible for your User Content and your use of Services Content. You assume all risks associated with the use of your User Content and Services Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your User Content or Services Content that personally identifies you or any third party. You hereby represent and warrant that (a) your User Content does not violate the Usage Policy; (b) the disclosure and provision of your User Content to us will not violate any law or contractual, legal, fiduciary or other obligation of yours to, or right of, any third party; (c) you have all necessary rights, licenses, consents, permissions, waivers and releases, and have provided all required notices (including privacy notices), for the storage, use and transfer of all your User Content by you and us, including the consent of any identifiable person shown in it and, where required, of the owner or occupant of any property shown in it; and (d) your User Content shall not include any Personal Data unless provided in accordance with applicable law. You may not represent or imply to others that your User Content or use of Services Content is in any way provided, sponsored or endorsed by Company. Since you alone are responsible for your User Content and use of Services Content, you may expose yourself to liability if, for example, your User Content violates the Usage Policy. Company is not obligated to back up any User Content, and your User Content may be deleted at any time without prior notice. You are solely responsible for creating and maintaining your own backup copies of your User Content and Output if you desire. For the purposes of these Terms, "Personal Data" means any data that is deemed personal data or personal information (or other analogous variations of such terms) under and subject to any data protection law or regulation applicable to such data, including Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 and the California Consumer Privacy Act, each as may be amended from time to time.

3.2. License. You hereby grant (and you represent and warrant that you have the right to grant) to Company a non-exclusive, royalty-free, fully paid, worldwide license to host, store, reproduce, transmit and display your User Content, and to grant sublicenses of those rights to the hosting, content delivery and artificial intelligence service providers we use, in each case solely to the extent necessary to operate the Services and generate the Output you request, to keep the Services secure, and to comply with applicable law. Company does not use your User Content to train, fine-tune or evaluate generative artificial intelligence models; our Privacy Policy describes how your User Content is handled and how long it is retained. This license ends when your User Content is deleted in accordance with our Privacy Policy, except to the extent copies remain in routine backups or retention is required by law. If you publish Output using the Share function, Section 3.6 applies to that Output. You waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Content, to the fullest extent permitted by applicable law.

3.3. Usage Policy. Your use of the Services, your User Content and your Output must comply with our Usage Policy, which includes our Content Policy and our rules on building and construction use, truthful representation and AI disclosure.

3.4. Enforcement. We reserve the right (but have no obligation) to review, refuse and/or remove any User Content, Output or Services Content in our sole discretion, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Usage Policy or any other provision of these Terms or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content or any content resulting from your actions, restricting features, suspending or terminating your Account in accordance with Section 8, and/or reporting you to law enforcement authorities. The Usage Policy explains how to report content and how we inform you of our decisions.

3.5. Output.

(a) Your User Content. You retain any ownership rights you may have in the User Content you provide to the Services. These Terms do not transfer ownership of your User Content to Company.

(b) Paid Members. "Paid Member" means a user who, at the time the Output is generated, has an active paid subscription plan, or who generates that Output using credits from a purchased credit (token) pack. Free plans, free trials and free or promotional credits do not make a user a Paid Member. If you are a Paid Member at the time the Output is generated, then as between you and Company you own that Output to the fullest extent permitted by applicable law, and Company hereby assigns to you all of its right, title and interest, if any, in and to that Output. You may use that Output for any lawful purpose, including commercial purposes, without additional fees or royalties owed to Company. Your rights under this Section 3.5(b) are subject to your compliance with these Terms, including the Usage Policy.

(c) Free and trial users. If you are not a Paid Member at the time the Output is generated, Company grants you, to the extent of such rights (if any) as Company holds in that Output, a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify and display that Output for your own personal, non-commercial purposes. You may not sell or license that Output, and you may not use it in connection with any client project, product, service or other activity carried on for profit. No attribution to Company is required, and no third party acquires any rights in that Output by reason of this license. If you later become a Paid Member, Section 3.5(b) applies to Output generated on or after the date your paid plan begins; Output generated before that date remains subject to this Section 3.5(c) unless we agree otherwise in writing.

(d) Your responsibility for Output. You are solely responsible for your Output and for your use, publication, distribution and commercialization of it, including for ensuring that it does not infringe or violate any intellectual property, privacy, publicity or other third-party right, or any applicable law. Company makes no representation or warranty that Output is original, non-infringing, or suitable for any particular purpose, and Company provides no indemnity in respect of Output.

(e) Output is not unique. The Services generate Output algorithmically and serve many users. Output is not unique, and other users may receive the same or similar output from the same or similar inputs. Nothing in these Terms restricts Company from generating, using or providing to others any output that is the same as or similar to your Output.

(f) Copyright limitations. You acknowledge that the legal status of content generated by artificial intelligence is unsettled and varies between jurisdictions, and that the assignment in Section 3.5(b) transfers only such rights, if any, as Company holds.

(g) License to operate the Services. You grant Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce and display your Output solely to the extent necessary to operate and provide the Services to you and to comply with applicable law.

(h) Provenance. We may attach watermarks, Content Credentials, metadata or other information identifying Output as generated by artificial intelligence, including where the law requires it. You must not remove, alter or obscure that information, or otherwise present Output as not AI-generated, where doing so would mislead others or breach the law or the Usage Policy.

3.6. Sharing and the Explore Page.

(a) Public visibility. Output is private to your Account unless you choose to share it. By using the Share function, you agree that the content you share may be featured on the Explore page or in other public sections of the Services, where it is visible to the public and may be indexed by search engines.

(b) License. You grant us a non-exclusive, royalty-free, worldwide license to display, distribute and promote the content you share within the Services, including on the Explore page and in related promotional activities. You may stop sharing content at any time; we will then stop displaying it within a reasonable time, although copies already made by others or in materials already published may remain.

(c) Your responsibility. You confirm that you have the necessary rights to share the content and that it does not infringe any copyright, trademark or other right of any third party. Any legal dispute arising from content you share is your sole responsibility.

(d) No compensation. Sharing content does not entitle you to any payment or to any ownership claim over how the content is displayed.

(e) Reporting and removal. If you believe content was shared without authorization or violates your rights, you may report it as described in the Usage Policy.

4. INDEMNIFICATION

You agree to indemnify and hold Company (and its officers, employees, and agents) harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of (a) your use of the Services, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, (d) your User Content, (e) any Building Work or other reliance on Design Content (each as defined in Section 6.2), or any building, structure, product or other thing designed, made, built or installed using Design Content, by you or by anyone acting on your behalf, at your direction or with whom you shared Design Content, including any claim by an owner, occupant, neighbor, buyer, tenant, client or contractor of a property, or (f) Your Application (as defined in Section 2.10) and its use by others. Company reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Company. Company will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it. If you are a consumer to whom the Consumer Addendum applies, this Section 4 applies to you only as stated in the Consumer Addendum.

5. THIRD-PARTY LINKS & ADS; OTHER USERS

5.1. Third-Party Links & Ads. The Services may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, "Third-Party Links & Ads"). Such Third-Party Links & Ads are not under the control of Company, and Company is not responsible for any Third-Party Links & Ads. Company provides access to these Third-Party Links & Ads only as a convenience to you and does not review, approve, monitor, endorse, warrant, or make any representations with respect to Third-Party Links & Ads. You use all Third-Party Links & Ads at your own risk and should apply a suitable level of caution and discretion in doing so. When you click on any of the Third-Party Links & Ads, the applicable third party's terms and policies apply, including the third party's privacy and data-gathering practices. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction in connection with such Third-Party Links & Ads.

5.2. Other Users. Each user of the Services is solely responsible for any and all of its own User Content. Since we do not control User Content, you acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. We make no guarantees regarding the accuracy, currency, suitability, appropriateness, or quality of any User Content. Your interactions with other users of the Services are solely between you and such users. You agree that Company will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any other user, we are under no obligation to become involved.

5.3. Release. You hereby release Company (and our officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, all claims, demands and damages of every kind, known and unknown, arising out of or in any way connected with disputes between you and other users of the Services or other third parties, including in connection with any Third-Party Links & Ads. This release does not cover claims arising from Company's own acts or omissions. IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

6. DISCLAIMERS

6.1. General. THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND COMPANY (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SERVICES OR ANY OUTPUT WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

6.2. Design Content Is Not Professional Advice; Building and Renovation Work.

(a) Visualization and inspiration only. "Design Content" means Output, Services Content, and any plan, drawing, model, measurement, dimension, quantity, estimate, suggestion or other material that you create, edit or obtain using the Services, including through any floor planner, 3D or building design editor, AI assistant or agent, or rendering, editing, video or 3D generation tool. Design Content is generated by artificial intelligence and automated processes and is provided for visualization, inspiration and concept design purposes only. Design Content may be inaccurate, incomplete, out of scale, physically impossible, unsafe or unlawful to build, and it may differ from the real property, materials or conditions it depicts. Design Content is not construction documentation; it is not an architectural, engineering, structural, electrical, plumbing, mechanical, fire-safety or other technical drawing or analysis; and it is not a survey, an inspection, or a cost or time estimate. The Services do not check measurements, dimensions or scale, site or ground conditions, structural or load-bearing capacity, building systems, materials, building codes, zoning or planning rules, permit requirements, or whether anything can be built or used safely.

(b) No professional advice or relationship. Company is not an architect, engineer, contractor, surveyor, interior designer or other licensed professional, and nothing on or produced by the Services is professional, technical or legal advice. Your use of the Services does not create any professional or advisory relationship between you and Company. Any check, validation, verification, measurement or collision feature in the Services is an automated aid for editing a model; it does not confirm that a design is safe, structurally sound, buildable or compliant with any law, code or standard.

(c) Your responsibility. YOU ARE SOLELY RESPONSIBLE FOR EVERY DECISION YOU MAKE, AND EVERY ACTION THAT YOU OR ANYONE ACTING ON YOUR BEHALF OR AT YOUR DIRECTION TAKES, ON THE BASIS OF DESIGN CONTENT, INCLUDING ANY CONSTRUCTION, DEMOLITION, RENOVATION, REMODELING, ALTERATION, EXTENSION, REPAIR, INSTALLATION, FURNISHING, DECORATION, LANDSCAPING OR OTHER WORK ON ANY BUILDING, STRUCTURE, SITE OR PROPERTY ("BUILDING WORK"), AND ANY PURCHASE, SALE, LEASE OR FINANCING DECISION. Before carrying out any Building Work you must have it designed, reviewed and approved by appropriately qualified and licensed professionals (such as architects, structural engineers and licensed contractors), obtain every permit and approval it requires, and comply with all applicable building codes, zoning, planning, safety, accessibility and other laws. In particular, you must never remove, move, cut, add or alter any wall, column, beam, slab, foundation or other load-bearing or structural element, or any gas, electrical, plumbing, ventilation or fire-safety system, on the basis of Design Content. Carrying out Building Work on the basis of Design Content without the professional design, review and approval and the permits described in this Section 6.2(c) is a material breach of these Terms.

(d) Presentation, sharing and professional use. You must not present Design Content to anyone as a certified, stamped, approved or permit-ready document, as having been prepared or checked by a licensed professional when it was not, or as having been reviewed, verified or approved by Company. If you share Design Content with others, including through the Share function, you are responsible for making clear that it is AI-generated visualization and not construction documentation. If you use the Services in the course of a business or profession (for example, as an architect, designer, contractor, developer or real estate professional), you are responsible for applying your own professional judgment to any Design Content you use, for its suitability for your clients and projects, and for everything you tell your clients about it.

(e) No liability for Building Work. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMPANY (AND ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS) SHALL HAVE NO LIABILITY OF ANY KIND, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, TO YOU OR TO ANY THIRD PARTY FOR ANY LOSS, DAMAGE, COST, CLAIM, FINE OR INJURY ARISING FROM OR RELATING TO ANY BUILDING WORK, ANY OTHER RELIANCE ON DESIGN CONTENT, ANY DEFECT, ERROR OR INACCURACY IN DESIGN CONTENT, OR ANY BUILDING, STRUCTURE, PRODUCT OR OTHER THING DESIGNED, MADE, BUILT OR INSTALLED USING DESIGN CONTENT, INCLUDING STRUCTURAL FAILURE OR COLLAPSE, DAMAGE TO ANY BUILDING OR OTHER PROPERTY, DEFECTS, DELAYS, COST OVERRUNS, AND ANY FAILURE TO OBTAIN A PERMIT OR TO COMPLY WITH ANY LAW, CODE OR STANDARD. YOU ASSUME ALL RISK OF ANY SUCH RELIANCE.

(f) Mandatory law. Nothing in this Section 6.2 excludes or limits any liability that cannot be excluded or limited under applicable law, including, where applicable law so provides, liability for death or personal injury caused by negligence, or for fraud, gross negligence or willful misconduct, and nothing in it affects any rights you have as a consumer that cannot be waived by agreement. Where applicable law does not permit the full exclusion set out above, Company's liability is limited to the maximum extent that law permits.

7. LIMITATION ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COMPANY (OR OUR SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPANY FOR THE SERVICES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS (U.S. $100). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS. THE LIMITATIONS IN THIS SECTION 7 ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND COMPANY AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including, where applicable law so provides, liability for death or personal injury caused by negligence, or for fraud, gross negligence or willful misconduct. Where applicable law does not permit an exclusion or limitation in these Terms in full, that exclusion or limitation applies to the maximum extent that law permits. If you are a consumer to whom the Consumer Addendum applies, this Section 7 applies to you as modified by the Consumer Addendum.

8. TERM, SUSPENSION AND TERMINATION

8.1. Term. Subject to this Section 8, these Terms will remain in full force and effect while you use the Services.

8.2. Suspension and termination by Company. We may suspend or terminate your rights to use the Services (including your Account), with or without notice: (a) if you breach these Terms or the Usage Policy, including by carrying out Building Work in breach of Section 6.2(c); (b) where we must do so to comply with the law or with a request of a court or other authority; (c) where your use creates risk or possible legal exposure for us, our users or third parties, or could harm the Services; (d) for non-payment, fraud or a chargeback; or (e) where a third-party provider stops or limits the service we rely on to provide the feature concerned. We may also terminate your Account or a paid plan for any other reason by giving you at least 30 days' notice; Section 2.9(e) and (f) then apply.

8.3. Termination by you. You may stop using the Services and delete your Account at any time. Cancellation of subscriptions is described in Section 2.8(c).

8.4. Effect of termination. Upon termination of your rights under these Terms, your Account and right to access and use the Services will terminate immediately. You understand that any termination of your Account may involve deletion of your User Content and Output associated with your Account from our live databases, and you should keep your own copies. Company will not have any liability to you for any termination of your rights under these Terms carried out in accordance with this Section 8, including for termination of your Account or deletion of your User Content.

8.5. Survival. Even after your rights under these Terms are terminated, the following provisions of these Terms will remain in effect: Sections 2.2 through 2.12, and Sections 3 through 10.

8.6. Discontinuation. If we decide to discontinue the Services entirely, we will tell you at least 30 days before the discontinuation date, by e-mail to the address associated with your Account and by a prominent notice in the Services. From the day of that notice we will stop selling plans and credits and stop renewing subscriptions. Your current plan and credits remain usable until the discontinuation date, and Section 2.9(e) and (f) apply. You should download any Output you want to keep before that date.

9. COPYRIGHT POLICY

Company respects the intellectual property of others and asks that users of the Services do the same. In connection with the Services, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination, in appropriate circumstances, of users of the Services who are repeat infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of the Services, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification (pursuant to 17 U.S.C. § 512(c)) must be provided to our Designated Copyright Agent:

9.1. your physical or electronic signature;

9.2. identification of the copyrighted work(s) that you claim to have been infringed;

9.3. identification of the material on our services that you claim is infringing and that you request us to remove;

9.4. sufficient information to permit us to locate such material;

9.5. your address, telephone number, and e-mail address;

9.6. a statement that you have a good faith belief that use of the objectionable material is not authorized by the copyright owner, its agent, or under the law; and

9.7. a statement that the information in the notification is accurate, and under penalty of perjury, that you are either the owner of the copyright that has allegedly been infringed or that you are authorized to act on behalf of the copyright owner.

Please note that pursuant to 17 U.S.C. § 512(f), any misrepresentation of material fact (falsities) in a written notification automatically subjects the complaining party to liability for any damages, costs, and attorney's fees incurred by us in connection with the written notification and allegation of copyright infringement.

10. GENERAL

10.1. Changes. We may revise these Terms, the Usage Policy and the Consumer Addendum from time to time. If a change materially reduces your rights or increases your obligations, we will notify you at least 30 days before it takes effect, by e-mail to the address associated with your Account and/or by a prominent notice in the Services. Other changes, and changes required by law or needed to address security or misuse, take effect when we post them. Changes do not apply to disputes that arose before they take effect. The "Last revised" date at the top of these Terms shows when they last changed, and we will provide previous versions on request. If you do not agree to a change, you must stop using the Services and cancel any subscription before the change takes effect; your continued use of the Services after that date means that you accept the change. You are responsible for providing us with your most current e-mail address. If the last e-mail address that you have provided to us is not valid, or for any reason is not capable of delivering a notice to you, our dispatch of the e-mail containing the notice will nonetheless constitute effective notice.

10.2. Dispute Resolution (United States residents). Please read this Section 10.2 (referred to in these Terms as the "Arbitration Agreement") carefully. It is part of your contract with Company and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER. This Section 10.2 applies only if you reside in the United States. If you reside elsewhere, this Section 10.2 does not apply to you, and disputes are resolved as described in Section 10.10 and, where it applies to you, the Consumer Addendum.

10.2.1. Applicability of Arbitration Agreement. All claims and disputes between you and Company arising out of or relating to these Terms or the Services, including claims and disputes that arose before you accepted these Terms, that cannot be resolved informally or in small claims court shall be resolved by binding arbitration on an individual basis under the terms of this Arbitration Agreement. Either party may, however, bring a claim in court for injunctive or other equitable relief to protect its intellectual property rights or to stop abuse of, or unauthorized access to, the Services. Unless otherwise agreed, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and Company, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under these Terms.

10.2.2. Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute ("Notice") describing the nature and basis of the claim or dispute and the relief requested. A Notice from you must include your name, your contact details and the e-mail address associated with your Account, and must be sent to support@luvi.io and to Luvi Technologies, Inc., 651 N Broad St Suite 206, Middletown, DE 19709, US, Attn: Legal. A Notice from us will be sent to the e-mail address associated with your Account. For 60 days after the Notice is received, you and Company will attempt in good faith to resolve the claim or dispute informally, and either party may request an individual settlement conference by telephone or video during that period. All applicable statutes of limitation and filing-fee deadlines are tolled while the parties engage in this process. Neither party may begin an arbitration proceeding until this process is complete. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.

10.2.3. Arbitration Rules and Fees. The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. The arbitration will be administered by JAMS. Disputes involving claims, counterclaims, or requests for relief under $250,000, not inclusive of attorneys' fees and interest, shall be subject to JAMS's most current version of the Streamlined Arbitration Rules and Procedures, available at http://www.jamsadr.com/rules-streamlined-arbitration/; all other disputes shall be subject to JAMS's most current version of the Comprehensive Arbitration Rules and Procedures, available at http://www.jamsadr.com/rules-comprehensive-arbitration/. Where you are a consumer, the JAMS Consumer Arbitration Minimum Standards also apply. JAMS's rules are also available at www.jamsadr.com or by calling JAMS at 800-352-5267. If JAMS is not available to arbitrate, the parties will select an alternative arbitral forum. Where the JAMS Consumer Arbitration Minimum Standards apply, you will pay no more than the portion of the filing fee those standards permit a consumer to be charged, and Company will pay all other fees and costs of JAMS and of the arbitrator; in all other cases, fees are allocated under the applicable JAMS rules. Each party shall bear its own attorneys' fees and costs, except that the arbitrator may award them as permitted by applicable law, and Company will not seek its attorneys' fees from you unless the arbitrator finds that your claim was frivolous or brought for an improper purpose.

You may choose to have the arbitration conducted by telephone or video, based on written submissions, or in person in the county where you live or at another mutually agreed location. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

10.2.4. Mass Filings. If 25 or more claimants represented by the same or coordinated counsel submit Notices or arbitration demands raising similar claims within a 90-day period (a "Mass Filing"), (a) the JAMS Mass Arbitration Procedures and Guidelines then in effect will apply; (b) to the extent consistent with those procedures, the claims will be administered in batches of up to 50 claimants each, with one arbitrator, one set of fees and one hearing per batch; and (c) all applicable statutes of limitation are tolled for the claims in a Mass Filing from the date the first Notice in it is received until the batch containing a claim is assigned to an arbitrator. If a court decides that this Section 10.2.4 is unenforceable as to a claimant, that claimant's claim shall be arbitrated individually under the rest of this Arbitration Agreement.

10.2.5. Authority of Arbitrator. The arbitrator shall have exclusive authority to (i) determine the scope and enforceability of this Arbitration Agreement and (ii) resolve any dispute related to the interpretation, applicability, enforceability or formation of this Arbitration Agreement including, but not limited to, any assertion that all or any part of this Arbitration Agreement is void or voidable. The arbitration will decide the rights and liabilities, if any, of you and Company. Except as provided in Section 10.2.4, the arbitration proceeding will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages and to grant any non-monetary remedy or relief available to an individual under applicable law, the arbitral forum's rules, and these Terms (including the Arbitration Agreement). The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and us.

10.2.6. Waiver of Jury Trial. YOU AND COMPANY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and Company are instead electing that all disputes, claims, or requests for relief shall be resolved by arbitration under this Arbitration Agreement, except as specified in Section 10.2.1 (Applicability of Arbitration Agreement) above. An arbitrator can award on an individual basis the same damages and relief as a court and must follow these Terms as a court would. However, there is no judge or jury in arbitration, and court review of an arbitration award is subject to very limited review.

10.2.7. Waiver of Class or Other Non-Individualized Relief. ALL DISPUTES, CLAIMS, AND REQUESTS FOR RELIEF WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR COLLECTIVE BASIS, ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER, EXCEPT AS PROVIDED IN SECTION 10.2.4. If a decision is issued stating that applicable law precludes enforcement of any of this section's limitations as to a given dispute, claim, or request for relief, then such aspect must be severed from the arbitration and brought into the State or Federal Courts located in New Castle County of the State of Delaware, and it shall be stayed pending the outcome of the arbitration of the remaining claims. All other disputes, claims, or requests for relief shall be arbitrated.

10.2.8. 30-Day Right to Opt Out. You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to support@luvi.io within thirty (30) days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your username (if any), the e-mail address you used to set up your Account (if you have one), and an unequivocal statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of these Terms will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have, or may enter in the future, with us.

10.2.9. Time Limit. To the extent permitted by applicable law, any claim or dispute within the scope of this Arbitration Agreement must be brought within one (1) year after the facts giving rise to it occurred, or it is permanently barred.

10.2.10. Severability. Except as provided in Section 10.2.7 (Waiver of Class or Other Non-Individualized Relief), if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

10.2.11. Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with Company.

10.2.12. Modification. Notwithstanding any provision in these Terms to the contrary, we agree that if Company makes any future material change to this Arbitration Agreement, you may reject that change within thirty (30) days of such change becoming effective by writing to Company at support@luvi.io, in which case the most recent version of this Arbitration Agreement that you did not reject will continue to apply to you.

10.3. Export. The Services may be subject to U.S. export control laws and may be subject to export or import regulations in other countries, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State. You agree not to export, re-export, or transfer, directly or indirectly, any U.S. technical data acquired from Company, or any products utilizing such data, in violation of the United States export laws or regulations. You represent and warrant that you are (a) not located in any country or region that is subject to a U.S. government embargo and (b) not a denied party as specified in the regulations listed above.

10.4. Disclosures. Company's address is set out under "Contact Information" at the end of these Terms. If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.

10.5. Electronic Communications and Notices. The communications between you and Company use electronic means, whether you use the Services or send us e-mails, or whether Company posts notices on the Services or communicates with you via e-mail. For contractual purposes, you (a) consent to receive communications from Company in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Company provides to you electronically satisfy any legal requirement that such communications would satisfy if it were in a hardcopy writing. Notices to you may be sent to the e-mail address associated with your Account. Unless these Terms say otherwise, notices to us must be sent to support@luvi.io. The foregoing does not affect your non-waivable rights.

10.6. Government Terms. We provide the Services, including related software and technology, for ultimate federal government end use solely in accordance with these Terms. If you are an agency, department, or other entity of any government, the use, duplication, reproduction, release, modification, disclosure, or transfer of the Services, or any related documentation of any kind, including technical data, software, and manuals, is restricted by these Terms. All other use is prohibited and no rights other than those provided in these Terms are conferred. The Services were developed fully at private expense.

10.7. Entire Terms. These Terms (including the documents incorporated in them) constitute the entire agreement between you and us regarding the use of the Services. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word "including" means "including without limitation". If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Your relationship to Company is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Company's prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Company may freely assign these Terms. The terms and conditions set forth in these Terms shall be binding upon assignees.

10.8. Copyright/Trademark Information. Copyright © 2023–2026 Luvi Technologies, Inc. All rights reserved. All trademarks, logos and service marks ("Marks") displayed on the Services are our property or the property of other third parties. You are not permitted to use these Marks without our prior written consent or the consent of such third party which may own the Marks.

10.9. Additional Terms Applicable to iOS. The following terms apply if you use the Services on any device that contains the iOS mobile operating system (the "App") developed by Apple Inc. ("Apple").

10.9.1. Acknowledgement. You acknowledge that these Terms are concluded solely between you and us, and not with Apple. We are solely responsible for the App and the content thereof. You further acknowledge that the usage rules for the App are subject to any additional restrictions set forth in the usage rules for the Apple App Store terms of service as of the date you download the App, and in the event of any conflict, the usage rules in the Apple App Store shall govern if they are more restrictive. You acknowledge and agree that you have had the opportunity to review the Apple usage rules.

10.9.2. Scope of License. The license granted to you is limited to a non-transferable license to use the App on any iPhone, iPod touch or iPad that you own or control as permitted by the Apple usage rules set forth in the Apple App Store terms of service.

10.9.3. Maintenance and Support. You and us acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

10.9.4. Warranty. You acknowledge that Apple is not responsible for any product warranties, whether express or implied by law, with respect to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, paid to Apple for the App by you; and to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App. You and Company acknowledge that to the extent that there are any applicable warranties, any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any such applicable warranty would be the sole responsibility of Company. However, you understand and agree that in accordance with these Terms, Company has disclaimed all warranties of any kind with respect to the App, and therefore, there are no warranties applicable to the App.

10.9.5. Product Claims. You and Company acknowledge that as between Apple and Company, Company, not Apple, is responsible for addressing any claims relating to the App or your possession and/or use of the App, including, but not limited to (i) product liability claims, (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement, and (iii) claims arising under consumer protection or similar legislation.

10.9.6. Intellectual Property Rights. You and Company acknowledge that, in the event of any third party claim that the App or your possession and use of the App infringe third party's intellectual property rights, Company, and not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required under these Terms.

10.9.7. Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted persons.

10.9.8. Developer Name and Address. Any questions, complaints or claims with respect to the App should be directed to the contact information set forth at the end of these Terms.

10.9.9. Third-Party Terms of Agreement. You agree to comply with any applicable third-party terms when using the App.

10.9.10. Third-Party Beneficiary. You and Company acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

10.10. Governing Law; Forum. Except as provided in Section 10.2 (Dispute Resolution), these Terms, and any dispute or claim arising out of or relating to these Terms or to the Services (including non-contractual disputes or claims), are governed by the laws of the State of Delaware, the State in which Company is organized, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. Where Section 10.2 does not apply, the state and federal courts located in New Castle County, Delaware shall have exclusive jurisdiction over any such dispute or claim, and you and Company each consent to personal jurisdiction and venue in those courts. Nothing in this Section 10.10 deprives a person using the Services as a consumer of the protection of any provision of the law of the country in which that consumer habitually resides that cannot be derogated from by agreement, or of any right that law gives the consumer to bring proceedings in the courts of that country.

10.11. Events Beyond Our Control. Company is not liable for any delay or failure to perform caused by events beyond its reasonable control, including failures of third-party providers, utilities or networks, acts of government, natural disasters, epidemics, war, terrorism, labor disputes and cyberattacks.

10.12. Language. These Terms are written in English. If we provide a translation, it is for convenience only, and the English version prevails to the extent permitted by applicable law.
